| Issue of 2,19,00,000 equity shares of Rs. 10/- each for cash at a premium of Rs.2/- per equity share aggregating to Rs.26.28 Crores (hereinafter referred to as "the issue"). The issue comprises a reservation for eligible employees of upto 10,95,000 equity shares of Rs.10/- each (hereinafter referred to as The "employee reservation portion") and the net issue to the public of 2,08,05,000 equity shares of Rs.10/- each (hereinafter referred to as the "net issue") present issue would constitute 50.94% of the fully diluted post-issue paid up capital of the company. The net issue to the public would constitute 48.39% of the fully diluted post issue paid up capital of the company.
